Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Idea Genius, a product of Idea Genius LLC (“Idea Genius,” “we,” “us”), including our website, AI-powered guidance tools, and related services (collectively, the “Service”). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Agreement to Terms

These Terms form a binding agreement between you and Idea Genius LLC. We may update these Terms from time to time as described in Section 16 below. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

2. Description of Service

Idea Genius provides AI-powered guidance, structured methodology, and tools intended to help founders develop and validate business ideas across a 7-phase framework. The Service is educational and informational in nature. It does not constitute legal, financial, tax, accounting, or professional business advice, and it is not a substitute for consultation with qualified professionals in those fields.

3. Eligibility & Account Registration

You must be at least 18 years old and capable of forming a binding contract to use the Service. When you create an account, you agree to provide accurate and complete information and to keep it up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us immediately at hello@ideagenius.io if you suspect unauthorized use of your account.

4. Subscription Plans, Fees & Billing

Certain features of the Service require a paid subscription. By subscribing, you authorize us to charge your chosen payment method on a recurring basis (monthly or annually, depending on the plan you select) until you cancel. Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.

• Prices are listed in U.S. dollars and are exclusive of applicable taxes unless stated otherwise.
• We may change subscription pricing from time to time. We will provide reasonable advance notice before any price change takes effect on your subscription.
• Payments are processed by our third-party payment processor (Stripe); we do not store your full payment card details.

5. Cancellations & Refunds

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation stops future billing but does not automatically refund the current billing period. We offer a 30-day money-back guarantee on new subscriptions: if you’re not satisfied within 30 days of your initial purchase, contact us for a full refund, no questions asked. Refund requests made after this 30-day window are considered on a case-by-case basis.

6. Acceptable Use Policy

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Reverse engineer, decompile, or attempt to extract the underlying models, source code, or methodology of the Service
• Scrape, crawl, or use automated means to access the Service without our prior written consent
• Resell, sublicense, or provide access to the Service to third parties without authorization
• Upload or transmit malicious code, or attempt to interfere with or disrupt the integrity or performance of the Service
• Use the Service to generate content that is unlawful, defamatory, infringing, or that violates the rights of others

We reserve the right to suspend or terminate accounts that violate this policy.

7. Your Content & License

“User Content” means any information, business ideas, documents, or other materials you submit to the Service. You retain all ownership rights in your User Content. By submitting User Content, you grant Idea Genius a limited, non-exclusive license to use, process, and store it solely for the purpose of operating, maintaining, and improving the Service. We will not sell your User Content or use it to train models on behalf of other customers.

8. AI-Generated Content Disclaimer

The Service uses artificial intelligence to generate guidance, suggestions, analyses, and other outputs (“AI Outputs”). AI Outputs are provided for informational purposes only, may be incomplete or inaccurate, and do not guarantee any particular business outcome or success. You are solely responsible for evaluating and deciding whether to rely on any AI Output, and for any business, financial, legal, or operational decisions you make. We recommend independent verification of important AI Outputs, including consultation with qualified professionals where appropriate.

9. Our Intellectual Property

The Service, including its software, methodology, 7-phase framework, design, text, graphics, and the Idea Genius name and logo, is owned by Idea Genius LLC and protected by intellectual property laws. Except for the limited right to use the Service as permitted under these Terms, no rights or licenses are granted to you in our intellectual property.

10. Third-Party Services

The Service relies on third-party providers to operate, including payment processing (Stripe), CRM and contact form processing (HubSpot, Close CRM), scheduling (Calendly), and hosting and analytics (Vercel). Your use of features backed by these providers may also be subject to their respective terms and privacy policies.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI OUTPUT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IDEA GENIUS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Idea Genius LLC, its officers, employees, and affiliates from any claims, damages, or expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your User Content, or your violation of these Terms.

14. Termination

You may stop using the Service and cancel your account at any time. We may suspend or terminate your access to the Service if you violate these Terms, or for any other reason with reasonable notice where practicable. Upon termination, your right to use the Service ceases immediately; provisions of these Terms that by their nature should survive termination will continue to apply.

15. Governing Law

These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Nevada, and you consent to the personal jurisdiction and venue of those courts.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by posting an update on this page and revising the “Last updated” date above. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
